The cMATRA Merger Portal (the "Portal") is operated by Flux Point Studios, Inc., a Delaware corporation ("FPS"). The Portal lets eligible holders of specific legacy Cardano assets exchange those assets for cMATRA at fixed, pre-published rates during a defined claim window. Use of the Portal is governed by the FPS Terms of Service and the FPS Privacy Policy , each of which is incorporated by reference into these disclosures. By connecting a wallet and submitting a surrender transaction, you acknowledge and agree to the following:
Eligibility. You represent that you are at least 18 years old (or 13 or older with verifiable parental or legal-guardian consent, where permitted), have full legal capacity to enter into a binding agreement, and are not legally prohibited from using the Portal under the laws of the jurisdiction in which you access it.
Restricted persons and jurisdictions. The Portal is not offered to, and may not be used by, any person located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive sanctions by the U.S. Department of the Treasury's Office of Foreign Assets Control (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine), nor by any person identified on any U.S., U.K., E.U., or U.N. sanctions or denied-persons list. You represent that you are not such a person and are not acting on behalf of such a person. You are solely responsible for compliance with the laws, regulations, and tax rules of your jurisdiction.
One-way migration; no refunds. A successful surrender is final and irreversible. Legacy assets you submit are sent to a Plutus-locked quarantine address from which they cannot be reclaimed, and the corresponding cMATRA is released to your wallet by the on-chain validator. The Portal does not offer cancellations, reversals, or refunds, and FPS cannot recover surrendered assets on your behalf.
Utility token; no investment, no security. cMATRA is a utility token intended for use within the Materios ecosystem. Nothing on the Portal is, or should be construed as, an offer or solicitation to buy or sell a security, an investment recommendation, financial advice, or a promise of profit. cMATRA does not represent equity, debt, dividend rights, revenue share, or any other claim on FPS or any affiliate. No future price, listing, liquidity, or utility is guaranteed.
Smart-contract and technical risk. The Portal interacts with open-source Plutus validators and off-chain services. The source code is published at github.com/Flux-Point-Studios/matra-token-merger for independent inspection. The code has not been subjected to a formal third-party security audit. The Portal is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, as set forth in the Terms of Service. You bear all risk of bugs, exploits, network outages, wallet errors, or loss of access to your wallet keys.
Tax responsibility. A surrender transaction may be a taxable event under the laws of your jurisdiction. FPS does not provide tax advice. You are solely responsible for determining and discharging any tax obligations arising from your use of the Portal; consult a qualified tax professional.
Blockchain transparency. All surrender transactions are recorded permanently on the Cardano mainnet. Your wallet address, the assets you surrender, the amount of cMATRA you receive, and the time of the transaction are publicly visible on chain. The Portal does not control third-party indexers, explorers, or analytics tools that may surface this data.
Network fees. Cardano network (TX) fees required to settle a surrender are paid by you from your wallet at the time the transaction is signed. FPS does not set, control, or refund Cardano network fees.
Disclaimers, liability, and dispute resolution. The FPS Terms of Service govern (without limitation) warranty disclaimers, limitations of liability, indemnification, the controlling law of the State of Utah, binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules and Supplementary Procedures for Consumer Related Disputes, a class-action and jury-trial waiver, and a 30-day right to opt out of the arbitration and class-action waiver provisions. Those terms apply to your use of the Portal. Internal corporate-law matters relating to FPS are governed by Delaware law and the exclusive jurisdiction of the Delaware Court of Chancery as set forth in the FPS Certificate of Incorporation.
